Terms of Service

These terms govern engagements with eCom RevUp and use of this website. By submitting an enquiry or engaging our services you agree to the terms below.

1. About eCom RevUp

eCom RevUp ("eCom RevUp", "we", "us") is a registered eCommerce growth partner providing advertising management, listing optimisation, A+ Content, creative services, reporting and analytics, and account management to online sellers. We operate as an authorised third-party Solution Provider under the Amazon Solution Provider Network. We are not a seller of record and do not take ownership of inventory, funds, or marketplace accounts at any point.

2. Services

The specific services, scope, deliverables, and pricing for each engagement are agreed in writing prior to commencement. These Terms of Service apply to all engagements. Where a separate written agreement exists and expressly supersedes these terms, that agreement governs for the matters it addresses.

We provide services with reasonable skill and care. Marketplace outcomes including revenue, ranking, and conversion rate changes are influenced by factors outside our control, including platform algorithms, competitive conditions, and seasonal demand, and are not guaranteed.

3. Authorised Account Access

Where the agreed services require access to your selling account, you authorise eCom RevUp to connect to your account via the Amazon Selling Partner API (SP-API) and Amazon Advertising API for the purpose of delivering those services.

4. Client Obligations

eCom RevUp is not responsible for outcomes arising from account health issues that pre-date our engagement, marketplace policy changes that affect your account, or decisions made by you outside the agreed service scope.

6. Confidentiality

Both parties will keep confidential all non-public information received from the other in connection with an engagement, including account data, business strategy, pricing, and performance details. This obligation survives termination of the engagement.

eCom RevUp will not disclose client account data or business information to any third party without your consent, except as required by law or as described in our Privacy Policy. Performance results may be referenced in anonymised case studies without identifying client names, brands, or account-specific data.

7. Intellectual Property

Creative assets and content produced by eCom RevUp on your behalf, including listing copy, A+ Content, Brand Store designs, images, and video, transfer to you as your property upon receipt of full payment for those deliverables.

AdNexora, our proprietary reporting and analytics platform, remains the sole intellectual property of eCom RevUp. Access to AdNexora is provided as part of qualifying service plans and does not constitute a transfer of any ownership rights.

8. Limitation of Liability

To the maximum extent permitted by applicable law, our total aggregate liability to you arising from or in connection with any engagement is limited to the total fees paid by you to us in the three-month period immediately preceding the event giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profit, loss of revenue, loss of data, or loss of business opportunity, whether arising in contract, tort, or otherwise.

9. Termination

Either party may terminate a service engagement by providing 30 days written notice to the other. On termination:

We may terminate immediately where you materially breach these terms and fail to remedy the breach within 7 days of written notice.

10. Governing Law

These Terms of Service are governed by applicable law in the jurisdiction in which eCom RevUp is registered. The parties agree to resolve disputes through good-faith negotiation before pursuing formal dispute resolution proceedings.
